Terms of Service

These Terms of Service ("Terms") govern your access to and use of Busabase Cloud (the "Service"), operated by AI Organizer Company ("Busabase," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

"Service" means Busabase Cloud, including workspaces, bases, records, views, the review inbox, file storage, hosted APIs, MCP and webhook integrations, and the desktop and mobile clients when connected to Busabase Cloud.
"User Account" means your personal login identity (email + credentials). One person may be a member of multiple Spaces using a single User Account.
"Space" means the workspace entity that acts as the billing and organizational unit. A Space holds bases, records, files, team members, and seats. Subscriptions are purchased at the Space level, per seat — not per individual User Account.
"Content" means any records, files, documents, data, or materials created, uploaded, or stored through the Service.
"Agent" means an AI-powered client or automation that submits Change Requests to a Space.
"Change Request" means a proposed change that records what changed, who proposed it, and when. Depending on the permission level of the credential that submitted it, it is either applied immediately or held pending review.

2. Account Registration

2.1 Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By registering, you represent that you meet this requirement.

2.2 Account Security

You are responsible for maintaining the confidentiality of your credentials and API keys. Notify us immediately at support@busabase.com if you suspect unauthorized access.

2.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep it up to date.

3. License and Usage Rights

3.1 Service License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes.

3.2 Restrictions

You may not:

Sublicense, resell, or redistribute access to the Service without our written consent
Attempt to reverse engineer, decompile, or extract proprietary components of the hosted Service
Use the Service for any illegal or unauthorized purpose
Interfere with or disrupt the integrity or performance of the Service
Exceed published rate limits or abuse API access
Use automated tools to scrape or harvest other users' data
Upload malware, viruses, or malicious code

The open-source Busabase engine is licensed separately under its own open-source license; nothing in these Terms restricts rights granted to you under that license.

4. User Content and Data

4.1 Ownership

You retain all rights to Content you create or upload. We claim no ownership of your Content.

4.2 License to Us

You grant us a limited license to host, store, process, back up, and transmit your Content solely to provide the Service — including routing Content to AI model providers and agent runtimes when you use AI features, and displaying Content to users you authorize.

4.3 Responsibility

You are solely responsible for your Content and for ensuring it does not violate any law, infringe third-party rights, contain malicious code, or include illegal or abusive material.

4.4 Prohibited Content and Conduct

You may not use the Service to create, upload, store, process, or distribute:

Illegal material — including child sexual abuse material, content that promotes terrorism or violent extremism, or material that facilitates human trafficking
Copyrighted or trademarked material you are not authorised to use
Personal information about others that you have no lawful basis to process, including scraped personal data
Malware, exploits, phishing pages, or credential-harvesting content
Content that harasses, defames, or threatens a person or group
Regulated goods and services you are not licensed to deal in — including weapons, controlled substances, and unlicensed financial, gambling, or pharmaceutical offerings
Material subject to export controls or sanctions that you may not lawfully transfer
Adult content involving non-consenting or apparently underage persons, or any sexual content presented to minors
Deceptive AI output presented as human or authoritative where doing so is unlawful, including impersonation, fabricated credentials, and disinformation campaigns

You also may not use the Service to circumvent another platform's terms, to send unsolicited bulk messages, or to resell Busabase capacity as your own service.

We may remove content, suspend a Space, or terminate an account for violations of this section, and we may report unlawful material to the relevant authorities.

4.5 Export Controls and Sanctions

You represent that you are not located in, ordinarily resident in, or acting on behalf of a country or party subject to comprehensive US sanctions or export restrictions, and that you will not use the Service in violation of applicable export control or sanctions laws.

4.6 Plan Limits

Your Space has limits on spaces, seats, records, nodes, attachment storage, and self-hosted connections based on its plan. We may restrict writes or uploads when a limit is exceeded until you upgrade or reduce usage.

4.7 Copyright Complaints

If you believe content on Busabase Cloud infringes your copyright, email support@busabase.com with: the work you claim is infringed, the URL or Space where it appears, your contact details, a statement that you believe in good faith the use is unauthorised, and a statement made under penalty of perjury that the information is accurate and you are the rights holder or authorised to act on their behalf. We will review, remove or disable access to infringing material, and terminate repeat infringers. Counter-notices may be sent to the same address.

5. Review Workflow and AI Agents

5.1 Change Requests and Review

Busabase is built so that agent output arrives as a Change Request, which records what changed, who proposed it, and when. Whether a change is applied immediately or held for review depends on the permission level of the credential the agent uses; you control that setting. You are responsible for configuring review where you want it, and for reviewing proposed changes before approving them.

5.2 Limitations

We do not guarantee that agents or models will produce accurate, complete, lawful, or error-free results, correctly understand instructions, or complete every task successfully.

5.3 Third-Party AI Processing

When you use AI features, your Content and workspace context may be processed by third-party model providers or compatible gateways. The provider or processing path may vary by selected model, feature, plan, and configuration. See our Privacy Policy.

5.4 Generated Output Disclaimer

Records, files, summaries, classifications, and other artifacts shown in the Service may be produced wholly or partly by AI systems and may be inaccurate, incomplete, misleading, biased, or infringing. Approving a Change Request is your decision and your responsibility.

6. Workspace Collaboration

6.1 Roles and Permissions

Space owners and admins can invite members, assign roles and seats, and configure sharing. You are responsible for managing access within your Space and for the activity of your members.

6.2 Shared Content

When you create a share link or publish a view, authorized users — and, for public links, anyone holding the link — can access the shared Content according to the permissions you set.

7. Plans, Payment, and Billing

7.1 Merchant of Record

Subscriptions to Busabase Cloud are sold through our merchant of record, Creem (Armitage Labs OÜ), Telliskivi tn 57b/1, Tallinn, Estonia. Creem handles checkout, payment processing, invoicing, applicable sales tax and VAT, and refunds. Charges may appear on your statement under Creem's descriptor.

7.2 Plans and Prices

The Service offers a Free plan and paid Plus, Pro, and Enterprise plans. Current plans and prices are published on our pricing page. As of the effective date of these Terms:

All fees are stated and charged in US dollars (USD) unless otherwise specified. Paid plans are billed in advance, per seat, at the Space level.

7.3 What You Get and When

Access to paid features is provisioned to the Space immediately after a successful payment is confirmed. There is no physical shipment; the Service is delivered electronically.

7.4 Renewal

Subscriptions renew automatically at the end of each billing period at the then-current price for your plan, unless cancelled before the renewal date.

7.5 Cancellation

You may cancel at any time from your Space's billing settings, or by emailing support@busabase.com. Cancellation takes effect at the end of the current billing period; your Space keeps paid access until then and is not charged again.

7.6 Refunds

You may request a full refund of your first payment for a paid plan within 14 days of that payment, for any reason. Email support@busabase.com from the address on the account, or contact our merchant of record Creem directly, and we will process the refund to the original payment method. Refunds are normally issued within 5–10 business days, depending on your bank or card issuer.

After the 14-day window, payments for the current billing period are non-refundable, and cancelling stops future renewals rather than refunding the period in progress. We will still issue a refund where one is required by applicable consumer law, and we may issue a discretionary refund — for example, for a duplicate charge, a billing error on our side, or a sustained outage that prevented you from using the Service.

Enterprise agreements are governed by their own written terms, which take precedence over this section.

7.7 Taxes

Prices are exclusive of applicable taxes unless stated otherwise. Our merchant of record collects and remits sales tax, VAT, or GST where required.

7.8 Price Changes

We may change prices with at least 30 days' notice before the change applies to your Space. Continued use after the change takes effect constitutes acceptance of the new price.

7.9 Failed Payments

If a renewal payment fails, we may retry, notify you, and — after a reasonable grace period — downgrade the Space to the Free plan and apply Free plan limits. Your data is not deleted solely because of a failed payment.

8. Intellectual Property

8.1 Our Property

The hosted Service, including its features, functionality, and design (excluding your Content and excluding components licensed to you under an open-source license), is owned by AI Organizer Company and protected by copyright, trademark, and other intellectual property laws.

8.2 Trademarks

"Busabase" and associated logos are our trademarks. You may not use them without our prior written consent, except as permitted by our brand guidelines.

8.3 Feedback

Any feedback or suggestions you provide about the Service may be used by us without obligation to you.

9. Third-Party Services

The Service integrates with third-party services such as authentication providers, our merchant of record, storage and email providers, and AI model providers. Your use of those services is governed by their own terms. We are not responsible for third-party services.

10. Disclaimers

10.1 "As Is" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Guarantee

We do not warrant that the Service will be uninterrupted, error-free, or secure; free from data loss or corruption; compatible with all devices or browsers; or able to meet your specific requirements.

10.3 AI Accuracy

We do not guarantee the accuracy, completeness, or reliability of AI-generated proposals. You are responsible for reviewing them before approval.

10.4 Beta Features

Beta or experimental features are provided without warranty and may be modified or discontinued at any time.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING loss of data, records, or files; loss of profits, revenue, or business opportunities; loss of goodwill; costs of substitute services; or damages resulting from AI output, agent errors, or automation failures.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) the amount you paid us in the 12 months preceding the claim, or (B) $100 USD.

These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

12. Data Backup and Loss

We maintain redundancy and backups for reliability, but you remain responsible for keeping your own copies of important Content using the export and backup features. We may experience downtime for maintenance, upgrades, or unforeseen issues.

13. Indemnification

You agree to indemnify, defend, and hold harmless AI Organizer Company and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your violation of third-party rights, your Content, or the actions of your Space members.

14. Term and Termination

14.1 Term

These Terms are effective until terminated by either party.

14.2 Termination by You

You may terminate your account at any time through your account settings or by contacting support@busabase.com.

14.3 Termination by Us

We may suspend or terminate access, with notice where practicable, for conduct that violates these Terms, harms other users or us, exposes us to legal liability, or involves fraudulent or illegal activity.

14.4 Effect of Termination

On termination your right to use the Service ceases; we may delete your Content after 30 days; you remain liable for outstanding fees; and Sections 8, 10, 11, 12, 13, and 15 survive.

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

15.2 Dispute Resolution

Before starting formal proceedings, please contact us at support@busabase.com so we can try to resolve the issue. Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in class actions. If you are a consumer, this section applies only to the extent permitted by the mandatory law of your country of residence.
